Terms of Service
Effective Date: September 25, 2025
These Terms of Service ("Terms") govern your access to and use of RentWise, a rental property management software-as-a-service platform available at https://rentwise.us (the "Service"), operated by RentWise US LLC ("RentWise," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy & Security Policy.
1. About the Service
1.1 Service Description The Service provides rental property management tools for individual landlords, including document upload and storage, OCR and AI-assisted data extraction, lease tracking, automated reminders, payment logging, receipt generation, expense tracking and analytics, financial reporting, data exports, and optional sharing features.
1.2 No Professional or Legal Advice THE SERVICE IS A SOFTWARE TOOL ONLY AND DOES NOT CONSTITUTE PROFESSIONAL, LEGAL, TAX, ACCOUNTING, FINANCIAL, INVESTMENT, REGULATORY, OR COMPLIANCE ADVICE OF ANY KIND. RentWise and the Service do not create or establish any attorney-client, accountant-client, fiduciary, advisory, or other professional relationship. All features, including AI-assisted data extraction, automated calculations, document generation, suggestions, analytics, reports, and any other outputs, are provided solely for your convenience as informational tools. You are solely responsible for ensuring that your use of the Service and all decisions you make comply with applicable federal, state, and local laws, regulations, and ordinances, including but not limited to fair housing laws, landlord-tenant laws, tax laws, privacy laws, data protection laws, and all other legal requirements applicable to your rental property operations. You must independently verify all information, calculations, and outputs generated by the Service. You should consult with qualified licensed attorneys, certified public accountants, tax advisors, financial advisors, and other appropriate professionals regarding any legal, tax, financial, regulatory, or compliance matters related to your rental property business. RentWise expressly disclaims any and all liability arising from your reliance on the Service in lieu of professional advice.
1.3 Insurance, Bonding, and Tax Records The Service does not replace or substitute for landlord insurance, liability insurance, property insurance, fidelity bonds, or any other insurance or bonding products. You are solely responsible for obtaining and maintaining appropriate insurance coverage and bonds as required by law or prudent business practice. The Service's reports, calculations, receipts, and exports are for informational and record-keeping convenience only and do not constitute official tax records, IRS-compliant documentation, certified financial statements, or audit-ready books of account. You must maintain independent records and consult with tax professionals regarding your tax reporting and documentation obligations.
1.4 State and Local Law Variations Landlord-tenant laws, fair housing requirements, security deposit rules, eviction procedures, lease requirements, and other legal obligations vary significantly by state, county, and municipality. The Service is designed as a general-purpose tool and may not address or comply with all specific legal requirements applicable in your jurisdiction. You are solely responsible for ensuring that your use of the Service and your rental property operations comply with all applicable state and local laws, regulations, and ordinances.
1.5 Platform Scope These Terms apply to all versions and instances of the Service, including the website at https://rentwise.us, any mobile applications, browser extensions, APIs, integrations, and any other platforms or interfaces through which the Service is accessed or provided, whether now existing or developed in the future.
1.6 Geographic Availability The Service is available exclusively to users located in the United States. By using the Service, you represent that you are located in the United States. We make no representation that the Service is appropriate or available for use outside the United States.
1.7 Service Changes We may modify, suspend, or discontinue any feature at any time without liability. Where practicable, we will provide advance notice of material changes.
1.8 Beta and Trial Features During any beta or free trial period, features may be incomplete, subject to frequent changes, or contain defects. Beta features are provided strictly "AS IS" with the additional limitations set forth in Section 8 (Warranty Disclaimer).
2. Your Account
2.1 Eligibility You must be at least eighteen (18) years old and have the legal capacity to enter into these Terms. If you use the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms, and references to "you" include that entity.
2.2 Account Registration You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
2.3 Shared Access and Authorized Users If you grant access to your account or data to any other users (including tenants, co-owners, property managers, accountants, or other third parties through sharing features), you remain fully responsible and liable for all activities, content, and actions taken by those users. You are responsible for ensuring that all users you authorize comply with these Terms and applicable laws.
2.4 Electronic Communications You consent to receive all notices, agreements, and communications electronically, including via email to the address associated with your account or by posting on the Service. Electronic communications satisfy any legal requirement that such communications be in writing. For notices to RentWise, email admin@rentwise.us.
3. Your Content and Data
3.1 Your Ownership You retain all ownership rights to content you upload, input, or create using the Service ("User Content").
3.2 License to RentWise You grant RentWise a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, process, index, analyze, display, and transmit User Content solely as necessary to provide, maintain, protect, and improve the Service and to comply with applicable law.
3.3 Deletion When you delete User Content, we will cease active use. However, copies may persist in backups or system logs for limited periods as described in our Privacy & Security Policy, or as required by law or for legitimate business purposes.
3.4 Your Backup Responsibility You are solely responsible for maintaining independent backup copies of your User Content and data. While we implement backup procedures for disaster recovery and business continuity, these backups are for our benefit and we make no guarantee regarding their availability, completeness, or your ability to access or restore from them. We are not liable for any loss, corruption, or unavailability of your User Content. You should regularly export and independently store copies of all important data.
3.5 Your Responsibility You are solely responsible for ensuring that your User Content does not violate any applicable law, infringe third-party rights, or breach these Terms.
3.6 Feedback You agree that we may collect technical usage data and telemetry to improve the Service. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction, in accordance with our Privacy & Security Policy.
4. Acceptable Use
You agree not to:
- Violate any applicable laws or regulations, including those related to housing, tenant rights, credit reporting, fair lending, privacy, or discrimination;
- Use the Service to discriminate against any person on the basis of race, color, religion, sex, national origin, familial status, disability, or any other protected class under federal, state, or local fair housing or civil rights laws;
- Upload or transmit any unlawful, harmful, fraudulent, defamatory, infringing, or otherwise objectionable content;
- Introduce viruses, malware, or any code designed to disrupt, damage, or compromise the Service or other users;
- Attempt to bypass security measures, access unauthorized areas, or reverse-engineer the Service;
- Use automated tools, bots, or scrapers without our prior written consent;
- Resell, lease, or sublicense the Service to third parties (except through features expressly designed for sharing);
- Misrepresent your identity or access another user's account without authorization.
You expressly acknowledge that you are solely responsible for complying with all fair housing laws and anti-discrimination requirements. The Service's features (including notes, tags, filters, or any other functionality) must not be used in any manner that facilitates or enables unlawful discrimination.
We may suspend or terminate your account immediately if you violate these Terms, engage in suspected fraud or abuse, or pose a threat to the security or integrity of the Service.
5. AI Features
5.1 AI Convenience Tool AI-assisted data extraction, classification, and suggestions are provided for your convenience only. You must review and verify all AI-generated outputs. We make no warranty regarding the completeness, accuracy, or fitness for any particular purpose of extracted information.
5.2 No AI Training As described in our Privacy & Security Policy, we do not use your data to train AI models. We do not maintain or operate AI models for training purposes.
6. Payments and Billing
6.1 Subscriptions Paid subscription plans automatically renew at the end of each billing period unless you cancel. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
6.2 Fees All fees are non-refundable except as required by applicable law. We reserve the right to change our pricing with advance notice.
6.3 Payment Methods You authorize us (or our payment processor) to charge your designated payment method for all fees. You are responsible for maintaining valid payment information. Your use of payment processing services is subject to the terms and conditions and privacy policies of our third-party payment processor(s). We are not responsible for any errors, failures, or disputes arising from payment processing services.
6.4 Taxes You are responsible for all applicable sales, use, and other taxes (excluding taxes based on our net income).
7. Third-Party Services
7.1 Data Exports We provide data exports in common formats. You are responsible for verifying the accuracy of exported data and for how you or any third party uses such data.
7.2 Our Service Providers We use trusted third-party service providers for hosting, storage, OCR/AI processing, email delivery, analytics, customer support, and payment processing. These providers are subject to confidentiality and security obligations.
7.3 Third-Party Integrations If you choose to integrate the Service with third-party applications or services, your use of those third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services.
8. Warranties and Disclaimers
8.1 Warranty Disclaimer THE SERVICE AND ALL FEATURES (INCLUDING BETA) ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
8.2 Service Interruptions The Service may be unavailable from time to time for maintenance, upgrades, or network issues. We will use reasonable efforts to minimize disruptions.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
9.1 No Consequential Damages We are not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, goodwill, data, or documents, even if advised of the possibility.
9.2 Liability Cap Our total liability for all claims relating to the Service will not exceed the total amounts paid by you to RentWise for the Service in the twelve (12) months preceding the event giving rise to liability. This limitation applies to all causes of action in the aggregate, including breach of contract, breach of warranty, negligence, strict liability, misrepresentation, and any other torts, as well as claims arising from security incidents, data breaches, unauthorized access, data loss, or service interruptions.
9.3 Exclusions Nothing in these Terms limits liability for willful misconduct to the extent such limitation is not permitted by law.
10. Indemnification
You will defend, indemnify, and hold harmless RentWise, its affiliates, and their officers, directors, employees, and agents, from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service, (b) your User Content, (c) your violation of law or these Terms, or (d) disputes between you and your tenants or third parties.
11. Intellectual Property
11.1 Our Ownership RentWise and its licensors retain all rights, title, and interest in the Service, software, designs, and content (excluding User Content). No rights are granted except as expressly stated in these Terms.
11.2 DMCA Policy We comply with the Digital Millennium Copyright Act. If you believe that content on the Service infringes your copyright, send a written notice to admin@rentwise.us containing: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material; (c) your contact information; (d) a statement of good faith belief that the use is not authorized; (e) a statement under penalty of perjury that the information is accurate and you are authorized to act; and (f) your physical or electronic signature. Counter-notices must comply with DMCA requirements.
12. Confidentiality
Each party may disclose non-public information marked confidential or that reasonably should be considered confidential. The receiving party will use such information only to perform under these Terms and protect it with reasonable safeguards.
13. Term and Termination
13.1 Termination by Us We may suspend or terminate your access immediately for violations of these Terms, legal requests, suspected fraud, non-payment, or threats to security or performance.
13.2 Effect of Termination Upon termination, your rights under these Terms cease immediately. Sections intended to survive termination (including confidentiality, intellectual property, disclaimers, limitations of liability, indemnification, arbitration, and governing law) will continue in full force and effect.
13.3 Data Handling Following termination, we will handle your data according to our Privacy & Security Policy, including applicable retention and deletion schedules.
14. Legal Compliance
14.1 Export Controls and Sanctions You represent that you are not located in, organized under, or controlled by a jurisdiction subject to comprehensive U.S. sanctions, and are not on any U.S. or other government restricted lists. You will not use the Service contrary to export or sanctions laws.
14.2 Force Majeure We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, labor disputes, internet failures, third-party outages, government actions, or pandemics.
15. Dispute Resolution
15.1 Time to File Claims YOU MUST COMMENCE ANY CLAIM, ACTION, OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. FAILURE TO COMMENCE WITHIN THIS TIME PERIOD WILL PERMANENTLY BAR ANY SUCH CLAIM, ACTION, OR PROCEEDING. This limitation applies to the fullest extent permitted by law and supersedes any longer statutory limitation periods.
15.2 Arbitration Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in New York, NY, in the English language.
15.3 Class Action Waiver YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS, COLLECTIVE, OR REPRESENTATIVE ACTIONS. All disputes must be brought on an individual basis.
15.4 Small Claims Court Either party may pursue qualifying claims in small-claims court instead of arbitration.
15.5 Injunctive Relief Notwithstanding the arbitration requirement, we may seek injunctive or equitable relief in court to protect confidential information or intellectual property.
15.6 Governing Law These Terms are governed by the laws of the State of New York, excluding its conflict-of-law rules. Subject to the arbitration requirement, exclusive venue for any court proceedings lies in the state or federal courts located in New York County, New York.
16. General Terms
16.1 Changes to Terms We may update these Terms at any time. Material changes will be notified by posting on the Service or via email where practicable. Changes take effect upon posting or as stated in the notice. Your continued use of the Service after changes constitutes acceptance of the updated Terms. We will indicate the effective date at the top of these Terms. Prior versions may be available upon request.
16.2 Assignment We may assign these Terms to any party. You may not assign these Terms without our prior written consent.
16.3 Severability If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
16.4 Waiver Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
16.5 Entire Agreement These Terms and our Privacy & Security Policy constitute the entire agreement between you and RentWise regarding the Service and supersede all prior agreements and understandings.
